These terms apply to the website tpbharat.com and to the services offered on it under the name TP Bharat by Hexa Advisors Limited (“we”, “us”). By using the website or ordering a service you agree to these terms.

1. Services

Free search: a quantitative search of Indian companies with company names hidden. It is indicative and is not a Transfer Pricing analysis.
Arm’s Length Analysis: a comparable search for one tested party and one financial year, with the profit level indicators that suit the transaction, our review of each company, an Excel workbook and a Word report.
Review and supplement of an existing search: our review of a comparable set you made on another database, with comparables added from our database and margins updated where asked.
Search for an assessment or appeal: a comparable search for a year under assessment or appeal, with the data available for that year.
Subscriptions: access to the search with company names and full company records, on the terms of the subscription.

2. Prices and payment

Prices are in Indian rupees and are shown on the Pricing page. GST is charged in addition at the applicable rate.
The regular price of an Arm’s Length Analysis is ₹20,000. A launch price of ₹15,000 applies to the first 500 customers, for up to 3 analyses each. A place is taken when the booking amount for an analysis is received. The number of places left shown on the website is the actual number.
During the launch offer, you start an analysis by paying a booking amount of ₹1,000 plus GST, adjusted against the fee. After the launch offer, 50% of the quoted fee is payable in advance before work starts. In both cases the balance is payable when the analysis is ready, before the final files are released.
Prepaid balance: you may pay in advance for future services. The balance is held as the taxable value paid and is used against the fees of later services, with the discount for the amount topped up shown on the Pricing page. It is valid for 24 months from the top-up and is not refundable, except where we are unable to provide the service.
Annual ceiling: once the fees invoiced to you in a financial year (April to March) reach ₹1,00,000 before GST, further services in that year are 50% off. The ceiling discount and the prepaid-balance discount are not combined with each other or with the launch price.
GST: we issue a receipt voucher for each advance and a tax invoice on delivery, with your GSTIN when you give it to us.
Requests: a request for paid work needs a mobile number verified with a one-time code. You can have a limited number of requests awaiting payment at a time (shown when you send a request); unpaid requests lapse after 7 days. We may decline a request.
Payments are made through our payment gateway partner. You must use a payment method you are authorised to use.
Work outside the agreed scope, such as additional tested parties, years or PLIs, the full Transfer Pricing report or Form 48 certification, is quoted separately.

3. Delivery

4. Refunds and cancellation

5. Not advice

Our searches and analyses are benchmarking analyses. They are not legal or tax advice, and they do not replace the functional analysis and documentation that you or your adviser are responsible for. You remain responsible for your Transfer Pricing documentation, filings and positions.

6. Data

Company data is sourced from filings with the Ministry of Corporate Affairs and public databases about companies, and is provided as available. We keep figures as reported and work to keep them accurate, but we do not guarantee that they are complete, current or free of error.

7. Acceptable use

Do not try to identify hidden company names by repeated or automated querying, or copy the database by automated means.
Do not resell or republish search results except as part of your own professional work.
Do not interfere with the security or availability of the website. Requests are rate-limited.

8. Intellectual property

The website, the organisation of our database, our calculation rules and the format of our outputs belong to us. You may use an Arm’s Length Analysis you have paid for in your own and your client’s Transfer Pricing documentation.

9. Confidentiality

Information you share about your tested party is used only to provide the service and is kept confidential, except where the law requires disclosure.

10. Liability

To the extent permitted by law, we are not liable for indirect or consequential loss, and our total liability for an Arm’s Length Analysis is limited to the fee paid for it. Nothing in these terms limits liability that cannot be limited by law.

11. Governing law

These terms are governed by the laws of India. The courts at Gurugram, Haryana have jurisdiction.

12. Changes

We may update these terms. The date at the top shows the latest version. The terms in force when you order an Arm’s Length Analysis apply to that analysis.
